Article 1 -  The name of the organization shall be Stagger4x4

Article 2 -  Stagger4x4 shall be organized as a non- profit entity in the State of West Virginia for the purpose of:
                 
A) Providing social, educational, and recreational activities for it’s members.
B) Participation in supporting civic activities, to enjoy and protect all local, state, and federal                                        resource.
C) Assisting  various government agencies with the development of off-road trails and areas.
D) Assisting with local and state emergency entities as well as the general public.
E) Adhering to the principals of The Tread Lightly Program and The U.S. 4WD Association.
F) Working to achieve a positive public perception of our organization.
G) Working to preserve our off-road heritage for future generations.

Article 3 - Membership and dues
                 
A) To be a member of Stagger4x4, you must own a jeep type, short wheel base vehicle.
B) Membership includes the immediate family which will be known as  “co-members”.
C) Members must be at least 18 years of age and in good standing with the community.
D) Dues for this organization shall be set by the recommendation of the BOD annually. Current membership is set at $35 for the first year with $25 due annually there after. Membership drives will be conducted on a semi-annual basis with the actual dates to be set by the BOD. Membership renewals will be paid annually with the date to be determined by the BOD.
 E) New applicants must complete an application which will be provided by an administrative official during a membership drive. Said application shall be reviewed and voted upon by the entire administration. Once the new member has been approved, an existing member shall be assigned as a sponsor. During this sponsorship period, partial rights and privileges will be granted. At the end of said sponsorship, the new member shall pay their dues and thus receive all rights, privileges, and labels. 
 F) Members shall receive a monthly news letter to be provided via website or actual US Mail. The BOD will be charged with appointment of the news letter committee.
G) Perspective members are encouraged to attend open club meetings and activities. This is a necessity as to obtain a mutual knowledge of what is expected by each party.
H) Membership may be terminated during an actual special meeting which results in a majority vote by the administration of this organization. Grounds for termination shall include but not be limited to: intemperance, disgrace, embarrassment, illegal activity, or repeated violations of the organizations rules, regulations, or by-laws. The effected member will be notified in advance and has the right to attend such meeting.
 I) The dues and other income shall support the club administration, newsletter, website, activities, charities, and related projects.
G) Members are required to adhere to the Stagger4x4 Code of Conduct. This code will be provided to each  new member upon entry of the probationary period. Furthermore, said code shall be reviewed annually by the BOD.

Article 4 -  Meetings
                 
A) Actual club meetings  will be held monthly and may be open to the public. These meeting will be set for the second or third weekend of each month.
B) BOD/Administrative Meetings may be held in private either in person or by way of  the internet whenever deemed necessary by the administration.
C) Club meetings may coincide with regularly scheduled functions such as but not limited to: dine-outs, trail rides, cookouts, poker runs, shows, wrench parties,  parades, and charity events.
D) Attendance/substance of each event and/or meeting shall be recorded by the secretary or his/her agent. Such record shall be maintained for annual review of participation, substance, and results.


Article 5 - Vehicle approval and safety
                 
A) All off road vehicles owned and operated by club members shall be labeled with an official club decal.
B) All members vehicles must meet legal requirements in order to attend an official club outing.
C)  Seat belts are required for all occupants and must be worn in accordance with WV State Code.
D) Firearms will only be permitted by  legal conceal carry permit holders during an official club event.  The designated group leader will be made aware any such firearms.
E) Alcohol and illegal substances will not be permitted during any official club trail ride as per W.V. State Code. Persons taking prescription drugs are ask to be aware of warnings and restriction pertaining to such.
 F) Items strongly suggested and soon to be mandatory: Tow Points, CB Radio, Full Size Spare Tire, Fire Extinguisher, & First Aid Kit.

Article 6 - Administration, Officers, Board of Directors , Chairpersons, Committees

A) The Administration shall consist of  nine individuals who will act as a whole for the benefit of the organization. The Administration shall be comprised of the Executive Officers and Board of Directors.
B) The Executive Officers or the club shall consist of  the President, Vice President, Secretary, Treasurer, and Membership Director. Executive Officers shall be elected by the general membership.
C) The Board of Directors shall be comprised of  four elected officials known as directors.
D) Chairpersons may be appointed by the BOD at the request of the Administration. The powers, duties, and terms shall be determined and recorded before the creation of each position.
F) Committees may be appointed by the BOD at the request of the Administration. The powers, duties, and terms shall be determined and recorded before the creation of each position.

Article 7 - Duties and Powers

A) The President shall preside over all members and shall be present at all scheduled events/meetings when possible. The president shall be charged with the duty to carry out the policies and decisions of the clubs members/BOD. The President shall work diligently to promote the welfare of this organization.
B) The Vice President shall accompany the President in presiding over meetings/events. In the event of the President’s absence, the Vice President shall serve in said capacity and shall be charged with the same duties.
C) The Secretary shall be charged with the duty to keep and preserve all records and minutes of meetings. The Secretary shall also be charged with the daily operations involved with maintaining the club.
D) The Treasurer shall be charged with the duty of keeping all financial records and the making payments. The Treasurer shall only make those disbursements from the funds and accounts of the club as directed by the Administration.
E) The Membership Director is charged with the duty of maintaining all applications and associated records. The Director of Membership is also responsible for membership renewals, encouraging membership, welcoming new members, and working with the Treasurer in the collection of dues. The Director of Membership shall be responsible for the assignment of new members sponsors and reporting their recommendations to the BOD.
F) Chairpersons and Committees shall be charged with specific duties accompanied by the necessary powers pertaining to their assignments. Details of each shall be recorded prior to the appointment/acceptance of each assignment. These positions shall be created and accountable to the BOD.
G) The Board Of Directors shall be charged with the duty of ensuring the clubs health and welfare. These individuals shall be required to work in unison for the benefit of the entire organization. The BOD must take a proactive roll in the direction of this club and are expected to attend meetings/events  regularly. The BOD has an obligation to address any and all concerns of the general membership as well as those of the Executive Officers.  The BOD shall have the power of creating Chairpersons and Committees for specific events and/or circumstances. The BOD shall be charged with defining the perimeters of powers and duties pertaining to each before enactment of actual office. The BOD shall also be responsible for voting on the enrollment of new members as well as the renewal of existing memberships.  In all matters, the findings and recommendations of the BOD shall be conveyed to the Administration for approval and enactment.
H) The General Membership is charged with the duty to make this club the best it can be. The General Membership also has a duty to act in such a manor as to not bring disgrace or embarrassment upon the club. The General Membership is also expected to maintain a positive relationship with other clubs, other members, and the general public.

Article 8 - Expenditures and Finance

A) All monies received from all sources shall be turned over to the Treasurer who will make a financial report to the Administration at each regular meeting.
B) By each November, the Executive Officers must have the financial records reviewed for accuracy. This review may be made by an outside source or by another club member with unanimous approval of the Administration.
C) All disbursements over $50.00 must be co-signed by another Executive Officer as determined by the President and in agreement with the BOD.
D) The monthly bank statements must be reconciled by the Treasurer and verified during the annual review.

Article 9 - Elections of Officers/Directors

A) The Executive Officers shall reside in such position until their resignation or removal as per article 11. 
B) The Board of Directors shall be elected by the entire membership annually.
C) Nominations shall be held in the last quarter of each year as determined by the BOD. Nominees shall be a paid member for six months prior to their nominations.
D) Nominations shall be published/posted  prior to the elections which shall be decided by majority vote of members. One vote per paid member is permitted with the exception being the co-membership of such as a spouse.
E) Absent members may vote by proxy to a person who is identified to the BOD prior to an election.
F) A deadline shall be established for nominations and/or the voting by proxy.
G) In the event of a vacancy of office, a special election  can be held in a regular meeting to fill the vacant position.

Article 10 - Resignation and Impeachment

A) Any person who can not fulfill their obligation to this organization should submit a formal request for resignation, in writing, to the BOD.
B) Any officer, director, or chairperson may be removed from their duties be way of impeachment. Such impeachment requires a 2/3 vote of the entire membership present at the meeting pertaining to said topic. Such termination must occur as a result of just cause including but not limited to disgrace, embarrassment, illegal activity, and/or neglect of duty.
C) The Executive Officers must convene to review all information and forward their findings to the BOD. If a finding of just cause is made then a recommendation for a vote of impeachment will be taken to the membership for a vote. If a preliminary finding of just cause is determined by the Executive Officers by unanimous vote, said individual’s powers and duties shall be removed and delegated as needed until an election can be held.
D) Members who have resigned and/or been removed from the general membership/office shall remove/remit any and all Stagger4x4 Labels, stickers, or apparel which are the logo property of  this organization and it’s members immediately.
